1. Introduction
These Terms govern access to and use of Clinical Audit Compass. By creating an account or accessing any part of the Service, you agree to comply with these Terms. These Terms apply to all users including clinicians, students, and authorised pilot testers.
2. Definitions
• “Service” refers to the Clinical Audit Compass mobile and web platform.
• “User” refers to any individual accessing the platform.
• “Content” means clinical logs, reflections, images (non‑confidential), CPD entries, and audit notes submitted by Users.
• “Company” refers to Clinical Audit Compass Ltd.
3. Eligibility
Users must be registered healthcare professionals, students in regulated programmes, or authorised testers. Users are responsible for ensuring their use complies with HCPC, NMC, GMC, AHCS, RCVS, and institutional standards.
4. Description of Service
Clinical Audit Compass provides tools for clinical logging, reflective practice, CPD generation, anonymised image attachment, audit support, and portfolio development. The Service is not designed to store patient‑identifiable data and must not be used as a clinical decision support system.
5. User Account Responsibilities
Users must provide accurate information, maintain confidentiality, and secure login credentials. The User is responsible for all activity under their account. The Company reserves the right to suspend accounts where misuse or breach is suspected.

6. Acceptable Use Policy
Users agree to use the Service professionally and ethically. The following are strictly prohibited:
• Uploading patient‑identifiable information.
• Sharing login credentials.
• Attempting to reverse engineer, decompile, or copy the platform.
• Interfering with platform security or functionality.
• Uploading harmful, fraudulent, or unlawful content.
• Misrepresenting professional status or qualifications.
7. Prohibited Conduct
Users must not:
• Circumvent security features.
• Access or attempt to access accounts belonging to others.
• Introduce malware, scripts, or automated tools.
• Use the Service for academic assessment fraud or falsification of professional development records.
8. Intellectual Property
All platform infrastructure, code, UI, workflows, branding, and system architecture are the intellectual property of Clinical Audit Compass Ltd.
Users retain ownership of their own uploaded text, reflections, and permitted images, but grant the Company a licence to store and process such content for the purpose of delivering the Service.
9. Platform Availability & Maintenance
The Company strives to maintain platform uptime but makes no guarantees regarding uninterrupted access. Maintenance, updates, and unexpected outages may occur. Firebase analytics and AWS hosting may experience temporary service interruptions beyond the Company’s control.
10. Third‑Party Services
The platform integrates with AWS (hosting), Firebase (analytics and crash reporting), and Stripe/Apple/Google (payment processing). Use of the Service constitutes acceptance of these third‑party terms. The Company ensures GDPR‑compliant Data Processing Agreements with all processors.

11. Subscription, Billing & Payments
Paid features may require monthly or annual subscription fees processed through Stripe, Apple In‑App Purchases, or Google Play Billing.
By subscribing, Users authorise recurring payments. Prices may change with notice. Refunds follow UK consumer law. Failure to pay may
result in suspension or termination of access.
12. Cancellation & Refunds
Users may cancel subscriptions at any time. Access continues until the end of the billing period. Refunds are only issued where required
by UK consumer legislation or where a proven billing error has occurred. App‑store‑managed subscriptions must be cancelled directly
through Apple or Google.
13. Limitation of Liability
The Service is provided “as is” and “as available.” Clinical Audit Compass Ltd is not liable for:
• loss of data or corruption of logs
• system outages or downtime
• errors arising from third‑party processors (AWS, Firebase, Stripe, Apple, Google)
• indirect, incidental, or consequential damages
• professional decisions made based on entries recorded within the platform
Nothing in these Terms excludes liability for death, personal injury, or fraud where such exclusion would be unlawful.
14. Indemnity
Users agree to indemnify and hold Clinical Audit Compass Ltd harmless from any claims, damages, liabilities, or expenses arising from:
• misuse of the platform
• breach of these Terms
• violation of professional or regulatory obligations
• unlawful or unethical conduct while using the Service
15. Termination of Service
The Company may suspend or terminate accounts for breach, misuse, illegal activity, security concerns, or failure to pay.
Upon termination, user data is deleted or anonymised in line with retention policy. Users may request export of their data prior to closure.
16. Changes to These Terms
The Company may update these Terms periodically. Continued use of the Service after changes are published constitutes acceptance of
the updated Terms. Users are encouraged to review the latest version regularly.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of Scotland and the wider United Kingdom. Disputes shall be handled through the Scottish courts
unless otherwise required by consumer protection law.
